Operating agreements are extremely important for small businesses as they can set forth the “rules of the road” in the operation of the business and can prevent misunderstandings and disputes between the owners of a business entity.

Purchases and Sales – Mark advises and represents small business owners and entrepreneurs in the purchases and sales of small businesses. From reviewing contracts through closing, Mark works closely with clients on these transactions to make sure the process is as efficient as possible. Mark also consults with tax experts. accountants, appraisers and other professionals when needed to protect client’s interests.

Contracts – Mark drafts and reviews contracts for his small business clients which can help avoid disputes and maintain compliance in all types of commercial and consumer transactions.

Shareholder Disputes – Mark assists shareholders and members of small businesses when they are in disputes with other shareholders and members of the business. Clients are always advised of the potential costs of litigating such matters before any legal action is taken and, when possible, these types of disputes can often be resolved via negotiation, mediation and/or arbitration which can result in cost savings over litigation. However, Mark will aggressively litigate these types of cases when necessary to protect a client’s interests.

Collections – Mark helps small business clients with collection of unpaid invoices and accounts. In New Jersey sums under $15,000.00 can be pursued in the Special Civil Part of the Superior Court which has the potential to result in lower court costs and legal fees and a quicker disposition of the case. For sums over $15,000.00 Mark represents clients in both arbitration and litigation to attempt to recover outstanding amounts owed. Clients are provided frequent status updates and a candid assessment of the “collectability” of a given debt.
